Definitions

  • “Services”: Refers to the comprehensive suite of automation, artificial intelligence (AI), and related digital products and solutions provided by 411 AI. This includes, but is not limited to, platforms such as Review AI, AI Employee, and Automation Hub.

  • “Client Data”: Means all information, data, and content that you, as the client, or your end-users, provide, upload, transmit, or otherwise make available through the use of the Services. This includes any proprietary information, customer data, and operational data that 411 AI processes on your behalf.

  • “Confidential Information”: Encompasses any non-public, proprietary information disclosed by either party (411 AI or the Client) to the other, whether in oral, written, electronic, or other form. This includes, but is not limited to, business plans, financial information, technical data, product designs, trade secrets, customer lists, and marketing strategies. Confidential Information does not include information that is publicly available, independently developed, or rightfully obtained from a third party without restriction.

1. Acceptance of Terms

By accessing, browsing, or otherwise utilizing any of the Services offered by 411 AI, you explicitly acknowledge and agree to be legally bound by these Terms & Conditions. Your continued use of the Services signifies your ongoing acceptance of these terms. We strongly advise all clients to review these Terms & Conditions periodically, as they may be updated or amended by 411 AI from time to time to reflect changes in our services, legal requirements, or business practices. Any modifications will become effective upon their posting to our website or direct notification to clients.

2. Services Provided

411 AI specializes in delivering cutting-edge automation and AI-driven solutions designed to streamline business operations and enhance efficiency. Our flagship services include:

  • Review AI: An intelligent platform designed to manage and optimize customer reviews and feedback, leveraging AI for sentiment analysis, response generation, and reputation management.

  • AI Employee: Virtual AI assistants capable of performing various administrative, customer service, or operational tasks, integrating seamlessly into existing workflows.

  • Automation Hub: A centralized platform for creating, deploying, and managing complex automation workflows across various business functions.

All Services are delivered through secure, scalable, and resilient cloud-based platforms, ensuring accessibility and performance. The provision of these Services inherently involves the AI processing of Client Data to automate tasks, generate insights, and facilitate the intended functionalities.

3. Client Responsibilities

Clients are paramount to the successful and compliant use of our Services. You are obligated to:

  • Provide Accurate Information: Ensure all information provided to 411 AI during account registration, setup, and ongoing use is accurate, complete, and kept up-to-date.

  • Grant Necessary Access: Provide 411 AI with the necessary access rights, permissions, and credentials to your systems, platforms, or data as required for the proper setup, integration, and delivery of the Services. This access will be used solely for the purpose of providing and improving the Services.

  • Comply with Applicable Laws: Adhere strictly to all relevant local, state, federal, and international laws and regulations. This includes, but is not limited to, the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, all applicable privacy laws (e.g., GDPR, CCPA), and intellectual property rights. You are solely responsible for ensuring that your use of the Services does not violate any third-party rights or legal obligations.

  • Prohibit Misuse and Harmful Outputs: Not use the Services for any unlawful, fraudulent, or malicious purposes. Clients must actively prevent the generation or dissemination of harmful, offensive, defamatory, discriminatory, or illegal content or outputs through the Services. Any such misuse will be considered a material breach of these terms and may result in immediate suspension or termination of services.

4. Payment Terms

Our billing structure is designed for flexibility, offering both monthly and annual subscription options.

  • Billing Cycles: Services are billed either on a monthly or annual basis. Clients opting for annual subscriptions receive a discounted rate equivalent to two months of free service.

  • Setup Fees: Any initial setup fees charged for the configuration and implementation of Services are strictly non-refundable.

  • Subscription Refunds: Once a billing cycle (monthly or annual) commences, subscription fees are non-refundable. We do not offer partial refunds for mid-cycle cancellations.

  • Non-Payment and Suspension: In the event of non-payment of subscription fees, a grace period of ten (10) days will be extended from the due date. Should payment not be received within this grace period, 411 AI reserves the right to suspend or, subsequently, terminate the Services without further notice.

  • Late Payment Interest: Any late payments will incur an interest charge of 1.5% per month on the outstanding balance, or the maximum amount permitted by law, whichever is lower. This interest will be applied from the day after the due date until the full payment is received.

5. Intellectual Property

411 AI retains full ownership of all underlying intellectual property rights related to the Services.This includes, but is not limited to:

  • All proprietary workflows, automation scripts, and methodologies developed by 411 AI.

  • All templates, frameworks, and pre-built solutions provided as part of the Services.

  • All underlying AI models, algorithms, and machine learning components.

Clients are granted a limited, non-exclusive, non-transferable license to use these proprietary assets solely for the purpose of utilizing the Services during the active subscription term. Upon termination of the subscription, this license immediately expires.

 

Clients expressly retain full ownership of their input data and any custom outputs generated by the Services based on their unique input data. 411 AI does not claim ownership over Client Data, only the tools and processes used to transform and manage it.

6. Data & Privacy

 

Data privacy and security are paramount at 411 AI.

  • Client Data Ownership: Clients maintain complete ownership of their data. 411 AI acts as a data processor and will only process Client Data for the express purpose of delivering the Services and complying with applicable legal obligations.

  • Data Usage for Service Improvement: To continuously enhance and refine our Services, 411 AI may utilize anonymized and aggregated data. This data will be de-identified in such a way that it cannot be linked back to individual clients or end-users. Clients have the option to opt-out of this anonymized data usage by contacting [email protected].

  • Data Backups and Storage: Weekly backups of Client Data are consistently maintained on secure servers located within the United States. While we implement robust backup procedures, 411 AI will not be held liable for any data loss or corruption resulting from unforeseen third-party failures (e.g., cloud provider outages, natural disasters), except in cases of gross negligence or willful misconduct on the part of 411 AI.

7. Confidentiality

Both 411 AI and the Client mutually agree to uphold the highest standards of confidentiality regarding each other’s Confidential Information. Each party commits to:

  • Secure Handling: Maintain the security and integrity of all Confidential Information received.

  • Non-Disclosure: Not disclose, reproduce, or disseminate the other party’s Confidential Information to any third party without explicit prior written consent.

  • Limited Use: Use Confidential Information solely for the purpose of fulfilling obligations and exercising rights under these Terms & Conditions.

This confidentiality obligation will not apply to information that is required to be disclosed by law, regulation, or a valid court order, provided that the disclosing party provides prompt notice to the other party to allow them to seek a protective order or other appropriate remedy.

8. No Guarantees

The Services provided by 411 AI are offered on an "as is" and "as available" basis. While we strive for excellence and aim to deliver highly accurate and effective solutions, 411 AI does not provide any express or implied guarantees regarding specific outcomes, results, or the absolute accuracy of the AI-generated outputs. The performance and results of the Services may vary depending on various factors, including the quality of input data, specific client configurations, and external market conditions.

9. Service Level Agreement (SLA)

411 AI is committed to delivering a high level of service availability and responsiveness.

  • Uptime Commitment: We commit to maintaining a monthly uptime of 99% for our core Services, excluding scheduled maintenance.

  • Scheduled Maintenance: Any scheduled maintenance requiring service interruption will be communicated to clients with at least 48 hours’ prior notice.

  • Service Credits: In the event that the monthly uptime falls below 99% (excluding scheduled maintenance), affected clients will be eligible for service credits on their next billing cycle, the specific terms of which will be outlined in a separate SLA addendum or upon request.

  • Support Response Times:

    • Critical Support: For issues severely impacting core service functionality, we guarantee a response within one (1) hour during standard business hours.

    • Standard Support: For general inquiries and non-critical issues, our support team will respond within twenty-four (24) hours.
